Agreement Acknowledgment

These Terms and Conditions establish the governing framework for Service usage and constitute the complete agreement between you and VertiAid. They outline rights, responsibilities, and obligations for all Service users.

Service access requires your acceptance and compliance with these terms, applicable to all visitors, users, and accessing parties. By accessing our Service, you agree to full term binding. Partial disagreement prohibits Service access.

You confirm being at least 18 years old. VertiAid prohibits Service use by individuals under 18.

Service Termination Rights

We reserve rights to terminate or suspend your access immediately, without prior notice or liability, for any reason including term breaches. Upon termination, your Service access rights cease immediately.

Liability Limitations

Despite potential incurred damages, VertiAid and supplier total liability under these terms remains limited to amounts actually paid through our Service, or $100 USD for non-purchasing users.

To maximum permitted extents, VertiAid and suppliers bear no liability for special, incidental, indirect, or consequential damages including profit loss, data loss, business interruption, personal injury, or privacy violations related to Service use or inability, third-party software/hardware utilization, or term provisions—even with damage possibility awareness.

Some jurisdictions restrict implied warranty exclusions or incidental damage liability limitations, potentially making certain above limitations inapplicable. In such jurisdictions, liability limits to maximum legally permitted extents.

Service Conditions Disclaimer

The Service provides "AS IS" and "AS AVAILABLE" with all potential faults and defects, without warranties of any kind. To maximum permitted extents, VertiAid, affiliates, licensors, and service providers disclaim all express, implied, statutory, or other warranties including merchantability, fitness for particular purposes, title, non-infringement, and course-of-dealing warranties. VertiAid provides no guarantees regarding Service requirements fulfillment, intended result achievement, compatibility with other systems, uninterrupted operation, performance standards, error-free functioning, or defect correction.

Further, neither VertiAid nor providers warrant: (i) Service operation/availability, included information/content/material accuracy; (ii) uninterrupted or error-free Service; (iii) provided information accuracy, reliability, or currency; (iv) Service, servers, content, or communications freedom from viruses, malware, or harmful components.

Some jurisdictions restrict certain warranty exclusions or consumer statutory rights limitations, potentially making certain above exclusions inapplicable. In such cases, exclusions and limitations apply to maximum enforceable extents.

European Union User Provisions

United States Compliance

You represent and warrant: (i) non-residence in United States embargoed countries or designated terrorist-supporting nations; (ii) absence from United States government prohibited or restricted party lists.

Contract Provisions
Severability: Unenforceable or invalid term provisions modify to achieve original objectives to maximum possible extents, with remaining provisions maintaining full effect.
Waiver: Failure to exercise rights or require performance obligations under these Terms doesn't affect future right exercise or performance requirement capabilities. Breach waivers don't constitute subsequent breach waivers.

Translation Interpretation

These Terms and Conditions may provide translated versions through our Service. You agree English text versions prevail during disputes.

Term Modifications

We reserve exclusive rights to modify or replace these Terms at our discretion. Material revisions warrant reasonable 30-day advance notice before new term effectiveness. Material change determinations remain at our exclusive discretion.
